Terms and Conditions

1. Agreement

By creating an account or using Rotavo ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.

The Service is operated by Rotavo. References to "we", "us" or "our" mean Rotavo. References to "you" or "your" mean the person or business using the Service.

2. The Service

Rotavo is a staff rota and scheduling tool. We provide tools to create, publish and share weekly rotas with your team. The Service is provided on a subscription basis.

We reserve the right to modify, suspend or discontinue any part of the Service at any time without notice.

3. Accounts

You must provide accurate information when registering. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old to use the Service. One account may be used by one business. You may not share your account with other businesses or resell access to the Service.

We may suspend or terminate your account if we believe you are in breach of these terms.

4. Subscriptions and Payment

The Service is available on a free Starter plan and a paid Pro plan. Pro subscriptions are billed monthly. Prices are displayed on the pricing page and may change with reasonable notice.

Payment is processed by Stripe. We do not store your payment card details. By subscribing to Pro, you authorise us to charge your payment method on a recurring monthly basis until you cancel.

You may cancel your Pro subscription at any time from your billing page. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

If payment fails, we may downgrade your account to the Starter plan until payment is resolved.

5. Free Trial

New accounts may be eligible for a free Pro trial. At the end of the trial period, your account will revert to the Starter plan unless you have subscribed to Pro. No charge is made without your active subscription.

6. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these terms. You must not:

• Use the Service to send spam, unsolicited messages or harmful content to your staff or others
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse engineer, copy or create derivative works from the Service
• Use the Service in any way that could damage, overburden or impair it
• Upload or transmit any content that is unlawful, offensive or infringes third-party rights

We may suspend or terminate accounts that violate these rules without notice.

7. Your Data

You retain ownership of the data you input into the Service, including employee names, contact details and rota information. By using the Service, you grant us a limited licence to store and process that data for the purpose of providing the Service to you.

You are responsible for ensuring you have the necessary permissions to upload and process personal data about your employees, including compliance with applicable data protection laws such as the UK GDPR.

We will not sell your data to third parties. We may use anonymised, aggregated data for internal analytics.

Upon account termination, we may delete your data after a reasonable retention period. You should export any data you wish to keep before closing your account.

8. SMS and Email Notifications

Where you use the Service to send SMS or email notifications to your staff, you are responsible for ensuring you have their consent to contact them and that your use complies with applicable laws, including PECR and UK GDPR.

SMS messages are sent via a third-party messaging provider. Standard message rates may apply to recipients depending on their network provider. We are not responsible for message delivery failures caused by third-party carriers.

9. Intellectual Property

All software, design, trademarks and content that make up the Service are owned by or licensed to Rotavo. Nothing in these terms grants you any rights to our intellectual property other than the limited right to use the Service as described.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind. We do not warrant that the Service will be uninterrupted, error-free or free of viruses or other harmful components. We make no guarantees regarding uptime or availability.

11. Limitation of Liability

To the maximum extent permitted by law, Rotavo shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of profits, data or business opportunity.

Our total liability to you for any claim arising out of or in connection with the Service shall not exceed the amount paid by you to us in the three months preceding the claim.

12. Termination

You may close your account at any time. We may terminate or suspend your account at any time if you breach these terms or if we decide to discontinue the Service, with or without notice.

On termination, your right to use the Service ceases immediately. You will have 30 days from the date of closure to reactivate your account and continue using the Service. After 30 days, your account and all associated data will be permanently removed and will not be available to reactivate.

Sections relating to intellectual property, disclaimer of warranties, limitation of liability and governing law survive termination.

13. Changes to These Terms

We may update these terms from time to time. We will notify you of significant changes by email or by displaying a notice in the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
